1. Overview

These Blue Unlimited Terms ("Add-On Terms") govern your purchase and use of the Blue Unlimited service ("Add-On") offered by CallBack LLC, a New Mexico limited liability company ("Company," "we," "us," or "our"). The Add-On provides a dedicated communications line with unlimited calling and unlimited text messaging, including Apple iMessage delivery, made available through a third party service provider.

These Add-On Terms supplement the CallBack Terms of Service, which remain in full effect and are incorporated by reference. If these Add-On Terms conflict with the Terms of Service with respect to the Add-On, these Add-On Terms control for the Add-On only. By purchasing the Add-On, you ("Customer," "you," or "your") agree to be bound by these Add-On Terms.

Sections 23 (Limitation of Liability), 25 (Waiver and Severability), and 30 (Arbitration and Waiver of Class Action) of the Terms of Service apply to every dispute arising out of or relating to these Add-On Terms or the Add-On, as if these Add-On Terms were part of the Terms of Service.

The Add-On is a messaging and calling line that the Company buys from a third party provider and resells to you, connected to your CallBack account. Each Line comes with a dedicated telephone number and unlimited calling and text messaging, including Apple iMessage delivery, subject to the fair use limits in Section 6. The Company sets the price of each Line, bills you for it, and handles support, cancellation, and number porting requests for it. The calling and messaging service on each Line runs on the provider's network and the carriers it relies on, and the Company does not own or operate any telephone network. The Add-On is available only while you keep an active CallBack subscription.

Independent reseller. CallBack is an independent reseller of lines on a third party messaging and calling service. CallBack does not operate that service, is not its provider, is not owned by its provider, and has no relationship with its provider other than as an independent reseller.

2. The Service

Each Add-On subscription ("Line") includes:

  • A dedicated phone number provisioned for your exclusive use while the Line is active
  • Unlimited outbound and inbound text messaging, delivered over iMessage where the recipient supports it, with SMS delivery where they do not
  • Unlimited calling as provided by the upstream provider
  • Conversation delivery into your CallBack account through the provider's installed application

Use of the Add-On requires installation of the provider's application in your CallBack account. The application and portions of the service experience carry the provider's own branding. Certain features of the Line, including some calling features, may be available only inside the provider's application or browser extension rather than inside the CallBack conversation view, and the availability of any given feature in any given surface may change over time.

Who can see your Line's conversations. Each Line is set up as a child account under the Company's account with the provider. Through that parent account, the Company and the personnel it authorizes can access every Line's message content, conversation history, contacts, configuration, and usage data, including yours. Turning on any privacy, security, or HIPAA related setting does not create separation between your Line and that access. The Company limits access to personnel who need it to provision, support, secure, and bill for the Add-On, to investigate abuse or a complaint, and to respond to legal process. The provider can also monitor use of its service under its own terms.

3. Emergency Calling and 911

Emergency calling and 911

Do not rely on a Blue Unlimited line to reach 911. The line runs over an internet connection rather than a traditional phone line, so emergency calling from it may be unavailable or limited compared with the home or business phone service you are used to. A call to 911 from the line may not connect at all, and if it does connect, the 911 center may not receive your location or a number it can use to call you back. The line cannot place any call, including a call to 911, during a power outage or an internet outage, or while the service is suspended. If the line's number has an area code from somewhere other than where you are, the call may be routed to the wrong 911 center. Even where location can be sent, there may be a delay before an updated location reaches the 911 center. Keep a traditional phone or a cell phone available wherever the line is used and use that to call 911. Tell everyone who uses the line to do the same.

Why a Line is different. Traditional home and business telephone service runs on a line tied to a fixed street address, and the phone company hands that address to the 911 center for you. A Line does not work that way. It is delivered as software over whatever internet connection is available to you at the time, it moves with you, and there is no fixed street address behind it for a 911 center to read. That difference is the reason this section exists.

What may go wrong. Emergency calling from a Line may be unavailable, or limited by comparison with traditional telephone service, in the following ways among others:

  • A call to 911 from a Line may not connect at all
  • Where a call does connect, the 911 center may not receive your location or a number it can use to call you back, so you may have to say both out loud and stay on the line
  • A Line cannot place any call, including a call to 911, during a power outage, during an internet outage, or while the provider or an underlying carrier has suspended or restricted it
  • A Line has no fixed street address behind it. Using it from another building, a hotel, or another state does not change what a 911 center would be told about where you are
  • The limits on emergency calling are set by the upstream provider and the networks it depends on, and they may change without notice to you or to the Company
  • A Line that has been canceled, suspended, or terminated cannot reach 911 at all

What to do in an emergency. Keep a traditional phone line or a cell phone available wherever a Line is used, and use that to call 911. If the only phone within reach is a Line, be ready to say your exact address out loud and to give a number the dispatcher can reach you on, and call back if the call drops.

Telling the people who use the Line. You are responsible for making sure that every person who uses a Line knows what this section says, including your employees, your contractors, and anyone else you allow to use it. The Company has no way to reach a user it does not know about, so passing this notice along is your obligation.

Your acknowledgment. The notice above is shown on the purchase screen before you buy, and the purchase requires you to check a box confirming that you have read it. The Company records that acknowledgment together with your purchase, and a Line is not sold without it.

A Line is not a replacement for traditional telephone service. Do not give up the phone service you rely on for emergencies because you hold a Line.

4. Third Party Provider and Service Availability

The Add-On is delivered through a third party messaging provider and depends on networks, platforms, and services the Company does not control, including Apple's iMessage network. Apple Inc. does not sponsor, endorse, or officially sanction third party business messaging over iMessage, and the continued availability of iMessage delivery cannot be guaranteed by the Company or by any provider.

You acknowledge and accept that:

  • The provider, Apple, or an underlying carrier may suspend, restrict, or discontinue a Line, a feature, or the service as a whole at any time, without notice, and without the Company's involvement
  • A Line that is suspended or restricted by the provider or by Apple may not be restorable, and conversation history held inside the provider's systems may become inaccessible
  • Delivery over iMessage depends on the recipient's device, settings, and Apple's message screening, none of which the Company controls
  • Scheduled and unscheduled maintenance by the provider may interrupt the service

The Company makes no warranty of message deliverability, read rates, response rates, call quality, or continuous availability of the Add-On or any part of it.

Activation. The Company has fourteen (14) calendar days from your purchase to make the Line live in your CallBack account. If the Line goes live later than that, your prepaid first month runs thirty (30) days from the date the Line goes live, your next billing date moves to match, and nothing is collected in between. If the Line is not live thirty (30) days after your purchase, you may cancel the Line at any time before it goes live and the Company will return your prepayment. That return is your only remedy for non delivery.

Unavailability after activation. If, after the Line goes live, it is unavailable for one full day or more for reasons outside the Company's control, the Company extends your current paid period by the same number of whole days, applied to your next billing date. That extension is your sole and exclusive remedy against the Company for that unavailability, and it, together with the return described above, is an express exception to Section 7(d) of the Terms of Service and to the Refund Policy, which otherwise apply. If that remedy fails of its essential purpose or is held unenforceable, the Company's liability for the unavailability is limited as stated in Section 23 (Limitation of Liability) of the Terms of Service.

5. Warranty Disclaimer for the Underlying Service

What you are buying. What the Company sells under these Add-On Terms is a Line that the Company buys from a third party provider and resells to you, together with the connection of that Line to your CallBack account. The Company is an independent reseller of the provider's lines. It does not operate the underlying messaging and calling service and does not hold itself out as its operator. The service is operated by an independent third party provider that is not affiliated with the Company.

What the Company does not control. The Company does not operate the underlying messaging service, does not host it, and has no ability to restore it if the provider, Apple, or a carrier suspends, degrades, or withdraws it. The Company does not set the fair use limits described in Section 6, does not decide which features the service offers, and does not control whether a given feature remains available in a given surface. Those decisions belong to the provider and to the networks the provider depends on.

NO GUARANTEE OF AVAILABILITY, UPTIME, OR FUNCTIONALITY. THE COMPANY MAKES NO GUARANTEE AND NO WARRANTY, EXPRESS OR IMPLIED, AS TO THE AVAILABILITY, UPTIME, CONTINUITY, OR FUNCTIONALITY OF THE UNDERLYING MESSAGING SERVICE, OR OF ANY LINE, NUMBER, FEATURE, OR CAPABILITY DELIVERED THROUGH IT. THE ADD-ON AND EVERY LINE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

THIS SECTION SUPPLEMENTS SECTION 22 (DISCLAIMER) OF THE TERMS OF SERVICE, WHICH DISCLAIMS THE IMPLIED WARRANTIES AND APPLIES IN FULL TO THE ADD-ON. IT DOES NOT NARROW, LIMIT, REPLACE, OR SUPERSEDE THAT SECTION. WHERE SECTION 22 DISCLAIMS MORE THAN THIS SECTION DOES, SECTION 22 GOVERNS, AND THE PRIORITY GIVEN TO THESE ADD-ON TERMS BY SECTION 1 DOES NOT OPERATE TO CUT IT DOWN.

Warranties on the underlying service. Any commitment the provider makes about the underlying service is made to the Company alone. The Company does not assign, pass through, or extend any provider warranty, service commitment, or remedy to you, and you are not a third party beneficiary of any agreement between the Company and the provider. The Company gives no warranty of its own on the underlying service. Nothing in these Add-On Terms waives a right you may hold directly against the provider.

Your remedy, and what this section leaves alone. Where a Line is not delivered or is unavailable as described in Section 4, the remedies stated in Section 4 are your sole and exclusive remedies against the Company for that non delivery or unavailability. Nothing in this Section 5 limits or excludes liability of the Company for fraud, for willful misconduct, or for anything that cannot lawfully be limited or excluded under applicable law. This Section 5 disclaims warranties. It does not cap or exclude damages, and Section 23 (Limitation of Liability) of the Terms of Service governs that question, including the exceptions stated there.

6. Fair Use

Unlimited means no message count and no per message fee. Each line can start conversations with up to 50 new contacts a day. A contact counts toward that 50 on every day you message them until they reply. Once a contact replies, messaging them is not limited. Calling has no published minute cap and is subject to the provider's and carriers' fair use and anti-abuse policies.

In more detail, "Unlimited" messaging is unlimited in message count, subject to the following fair use limits imposed by the upstream provider and passed through to you:

  • A Line may open conversations with up to fifty (50) new contacts per day. A contact counts against this limit each day you message them until they first reply
  • Messaging to contacts who have already replied is not limited
  • Calling is subject to the upstream provider's and underlying carriers' fair use and anti-abuse policies

Fair use limits are set by the upstream provider and may change. The limits in force at any time will be reflected in the Add-On's product documentation. Circumventing fair use limits, including by rotating contacts across Lines for the purpose of exceeding new contact limits, is a material breach of these Add-On Terms.

7. Your Compliance Obligations

The Add-On does not require A2P 10DLC campaign registration. That is a registration mechanic, not an exemption from the law. All legal obligations that apply to your communications continue to apply in full, and compliance with them is solely your responsibility. Without limitation, you remain responsible for:

  • The Telephone Consumer Protection Act (TCPA) and equivalent state laws, including consent, quiet hours, and Do Not Call obligations
  • Obtaining each recipient's consent to be contacted at their number through iMessage and SMS, which are unencrypted consumer channels that the Company and the provider do not secure end to end, giving any notice of that risk the law requires, and keeping records of every consent and opt-out for as long as the law requires
  • Obtaining and honoring opt-outs, regardless of the delivery channel used, including iMessage
  • The truthfulness and lawfulness of message and call content, including compliance with rules applicable to your industry
  • State telemarketing and registration requirements applicable to your business

You will defend, indemnify, and hold harmless the Company and its members, employees, and agents from and against any third party claim, demand, investigation, or proceeding, and any resulting penalty, settlement, judgment, loss, or reasonable attorneys' fees, that arises from or alleges (a) any message or call sent or placed from your Line, (b) your failure to obtain, record, or honor consent or an opt-out, or (c) your breach of these Add-On Terms, whether or not a violation is ultimately found, including any claim arising from the transmission of protected health information, the absence of a consent the law requires, or access to data on your Line consistent with the account visibility described in Section 2. The Company may suspend or terminate a Line immediately if its use generates spam reports, legal complaints, or provider enforcement action.

No protected health information. The Add-On is not a HIPAA compliant channel, and no business associate protections apply to it. You may not send, receive, or store protected health information ("PHI," as defined at 45 C.F.R. § 160.103) through an Add-On Line. This prohibition has no exceptions, and it applies even to customers who hold CallBack's separate HIPAA add-on, because the business associate chain for that add-on does not extend to Add-On Lines. Consumer messaging channels are not secure once a message leaves the platform, and you are responsible for what your users send. Transmitting PHI through a Line is a material breach of these Add-On Terms, and your indemnification obligation above applies to any claim arising from it.

You will not permit any person who uses a Line to send, receive, or store protected health information through it, and you will impose the obligations in this Section 7 on every person you allow to use a Line.

Before you or anyone using a Line sends a message to any person, you represent that you have obtained every consent the law requires, including that person's consent to be contacted at that number over unencrypted consumer messaging channels, and that you have given any notice of the risks that the law requires. You will keep records of those consents. The Company does not obtain, verify, or keep consents for you.

The Company's access to the data on your Line is described in Section 2 under "Who can see your Line's conversations." Nothing in this Section 7 narrows or expands that description.

8. Phone Numbers and Porting

The telephone number assigned to a Line is provisioned and held through the upstream provider. You receive the exclusive use of the number while your Add-On subscription for that Line is active and in good standing. You do not acquire ownership of the number.

When a Line ends, your right to use its number ends, and the number is released and may be reassigned to another customer. If you want to keep the number, request a port before the Line ends and keep the Line active until the port completes. A port request is not refused because an amount is owed on your account. Any amount owed remains owed. A number that has been released cannot be recovered, so the timing is the part that matters.

You may take your number with you. Where you ask to move a number from a Line to another provider and the request is valid, the Company will take the steps necessary to facilitate it, including the steps that have to be taken through the upstream provider that holds the number and through the carriers it relies on for numbering resources. The Company will not refuse a valid port request, will not apply a procedure that has the effect of delaying or denying one, and charges no fee of its own for porting a number away. Nothing in these Add-On Terms prevents you from porting a number away from a Line.

Timing and cost. How long a port takes is set by the receiving provider, by the upstream provider, and by the carriers involved, and the Company does not control it. A valid request needs account information from you that matches the record held on the Line, and a request that does not match is rejected by the carriers rather than by the Company. Any fee the upstream provider or the receiving provider charges for the port itself is payable by you.

9. Billing and Cancellation

Your first month is prepaid today. We have up to 14 days to make your line live in your CallBack account, and if it takes longer than that, your paid month starts on the day the line goes live and runs 30 days from there.

The Add-On is billed per Line as a recurring subscription at the price shown at purchase, in advance, with no setup fee and no term commitment. Your first billing period starts on the date of purchase, or on the date the Line goes live if that is more than fourteen (14) days after purchase, in which case that first period runs thirty (30) days. The Line renews monthly from the end of its first period until canceled. Applicable taxes are added where required. Your Line is reserved and provisioned after payment. If the Company does not make a purchased Line live, Section 4 states your remedy.

There is no flat per Line rate. The price of a first Line and the price of each additional Line on the same account differ. The price applicable to a Line is the price shown to you at the time you purchase that Line, and the Company makes no representation about the price of any Line you have not yet purchased. Additional Lines are arranged by contacting the Company, and the price of an additional Line is quoted at that time and is binding only once you purchase it. The price of a Line you already hold does not change while that Line remains active, except as provided in Section 10.

You may cancel a Line at any time through the CallBack billing portal at callbackcrm.com/billing, or by emailing billing@callbackcrm.com from the email address on your account. Line cancellation is not available inside the CRM platform itself, because deactivating a Line releases its number (see Section 8). Cancellation takes effect at the end of the current paid billing period. Fees already paid are not refunded and are not prorated, except as expressly provided in Section 4 and this Section 9.

The Add-On requires an active CallBack subscription. If your CallBack subscription is canceled, terminates, or lapses for any reason, each Line stays active until the end of that Line's current paid billing period, and then it ends and does not renew. When your CallBack subscription ends, the Company will email you the date each Line will end and how to request a port of its number. If the Company ends a Line before the end of a period you have paid for, for any reason other than your breach of these Add-On Terms, the Company will refund the prepaid, unused fees for that Line pro rata. That pro rata refund is the only cash refund the Add-On provides by default, and it is an express exception to Section 7(d) of the Terms of Service and to the Refund Policy. Apart from that refund and the return of a prepayment for a Line that is not live thirty (30) days after purchase, as described in Section 4, every remedy under these Add-On Terms is an extension of your paid period or a right to cancel.

10. Changes to These Terms

The Company may update these Add-On Terms from time to time, including to reflect changes in the upstream provider's terms, pricing, or fair use limits. The Company will email active Add-On subscribers at least sixty (60) days before any increase in the price of a Line they already hold takes effect, and at least thirty (30) days before any other material change takes effect. When the provider changes fair use limits or features on shorter notice, the change applies when the provider makes it, and the Company will email you as soon as it learns of it. In that case you may cancel the affected Line effective at the end of the current paid period. Changes apply prospectively only, and no change applies to a dispute that arose before the change took effect. If you do not agree to a change, you may cancel before it takes effect, and that cancellation takes effect as Section 9 provides.
